TERMS & CONDITIONS

1. General Overview

These Terms & Conditions govern all projects and services provided by VertaFly, including
filming, photography, editing, and related production work. Each project is tailored to the
client’s specific requirements, and all quotes and deliverables are defined in the project
agreement or invoice.

2. Permissions & Filming Rights

The client is responsible for ensuring that all necessary permissions for filming are secured
before the project begins, including but not limited to location access, property usage, and
appearance releases from individuals being filmed. VertaFly will not be held responsible for
any disputes, fines, or claims resulting from insufficient permissions.

3. Revisions

Revisions are included as specified in the project quotation or package. Additional revisions
beyond what is included will be billed separately at the rate specified in the quotation. The
scope and complexity of the project determine the number of revisions provided.

4. Delivery Time

Delivery times vary depending on the project size and complexity. Standard turnaround for
smaller projects is typically 1–3 working days, while larger productions may require
extended editing and review periods. Any estimated delivery dates provided are
approximate and subject to change based on project circumstances.

5. Payment Terms

All invoices are due within 14 days of the issue date unless otherwise stated. Deposits may
be required prior to production, as outlined in the quote. Late payments may incur interest
in accordance with applicable Swedish law.

6. Cancellation & Postponement

Cancellations made more than 36 hours before the scheduled filming date will not incur
additional fees. Cancellations made within 36 hours may be subject to a small cancellation
fee. Clients are entitled to one free rescheduling, provided the new date is agreed upon at
least 24 hours before the original booking. Further rescheduling or short-notice changes
may incur an additional fee to cover preparation and staff costs.

7. Insurance & Liability

VertaFly is fully insured through If Skadeförsäkring AB under policy number
SP7108949.1.1, which includes general business liability and drone liability coverage in
accordance with EU Regulation 785/2004. This policy provides coverage up to 10,000,000
SEK per claim and 20,000,000 SEK per policy year for damages or injury occurring during
filming, including drone operations conducted both indoors and outdoors within Sweden.
While every reasonable precaution is taken to ensure safety and quality, VertaFly cannot be
held liable for indirect, consequential, or unforeseeable losses, including but not limited to
data corruption, loss of opportunity, or delays beyond its control. Clients are responsible for
obtaining any required permissions for filming and for ensuring that all persons and
property affected by the production are properly informed and have consented to
participation when applicable.

8. Data & Footage Storage

Final edited footage and selected shots are retained indefinitely for portfolio or archival
purposes. Raw footage and project files are stored for a minimum of 12 months from
delivery unless otherwise agreed. VertaFly is not liable for data loss beyond this retention
period.

9. Force Majeure

Neither VertaFly nor the client shall be held responsible for failure or delay in fulfilling
contractual obligations due to circumstances beyond reasonable control, including but not
limited to illness, accidents, natural disasters, equipment failure, theft, fire, flooding, power
outage, or acts of government. In such cases, both parties will make reasonable efforts to
reschedule the project or find a fair solution. Any deposits paid will either be transferred to
a new date or refunded depending on the situation and the costs already incurred. The
company’s insurance covers only damages or injuries that fall within the scope of the
current policy; it does not cover cancellations, postponements, or other financial losses
resulting from events beyond the insured coverage.

10. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with
Swedish law. Any disputes arising under or in connection with this agreement shall first be
subject to mediation between the parties before legal proceedings are initiated.
