1. General Overview

These Terms & Conditions govern all projects and services provided by VertaFly, including filming, photography, editing, and related production work. Each project is tailored to the client's specific requirements, and all quotes and deliverables are defined in the project agreement or invoice.

2. Permissions & Filming Rights

The client is responsible for obtaining permission from property owners, site managers, or relevant authorities for filming at the requested location, including access permissions and appearance releases where required.

VertaFly is responsible for complying with applicable aviation regulations and drone operation rules.

VertaFly will not be held responsible for disputes, fines, or claims arising from insufficient location permissions or releases obtained by the client.

3. Revisions

A revision is defined as a round of requested changes to the delivered draft that remain within the original agreed scope of the project, such as minor edits to timing, sequencing, color grading, audio levels, text overlays, or similar adjustments. Revisions do not include changes that alter the original creative direction, require new footage, additional filming, re-editing from scratch, or substantially modify the agreed concept or deliverables.

The number of revisions included in the project is specified in the quotation or package. Any revisions requested beyond the included amount will be billed hourly, at the rate stated in the quotation or invoice, with time calculated based on the actual editing hours required. The client will be informed if a requested change falls outside the included revisions or original scope before additional charges are incurred.

4. Delivery Time

Delivery times vary depending on the project size and complexity. Standard turnaround for smaller projects is typically 1–3 working days, while larger productions may require extended editing and review periods. Any estimated delivery dates provided are approximate and subject to change based on project circumstances.

Delivery timelines may be extended if the client delays feedback, approvals, or the provision of required project materials.

5. Payment Terms

All invoices are due within 14 days of the issue date unless otherwise stated. Deposits may be required prior to production, as outlined in the quote. Late payments will incur interest in accordance with Swedish law and the terms specified in the issued invoice.

6. Cancellation & Postponement

Cancellations made more than 48 hours before the scheduled filming date will not incur additional fees, except for any documented, non-refundable travel costs already incurred.

Cancellations made within 48 hours of the scheduled filming date will be subject to a cancellation fee equal to documented travel costs plus 10% of the total quoted project fee, to compensate for preparation, scheduling, and reserved production time.

Clients are entitled to one free rescheduling, provided the new date is agreed upon at least 36 hours before the original booking. Any additional rescheduling requests or short-notice changes may incur an extra fee to cover preparation, staffing, and logistical costs.

7. Insurance & Liability

VertaFly maintains drone and business liability insurance through If Skadeförsäkring AB in accordance with EU Regulation 785/2004. Coverage details can be provided upon request.

8. Data & Footage Storage

Final edited footage and selected shots are retained indefinitely for portfolio or archival purposes. Raw footage and project files are stored for a minimum of 12 months from delivery unless otherwise agreed. VertaFly is not liable for data loss beyond this retention period. Retrieval of archived footage after project completion may incur a handling fee.

9. Force Majeure

Neither party shall be held responsible for failure or delay in fulfilling obligations due to circumstances beyond reasonable control. Any deposits will be transferred or refunded depending on costs already incurred.

10. Equipment Failure

In the unlikely event that a technical or equipment failure caused by equipment malfunction or technical issues under VertaFly's control prevents the completion of the agreed services, VertaFly will take reasonable steps to remedy the situation, which may include rescheduling the production, re-performing the affected services, or issuing a refund for the affected portion of the project.

VertaFly shall not be held liable for indirect, incidental, or consequential damages, including but not limited to lost profits, missed opportunities, or third-party costs arising from such equipment failure.

11. Usage Rights & Licensing

Unless otherwise agreed in writing, VertaFly retains the copyright to all produced footage and media.

The client receives a non-exclusive license to use the delivered material for the purposes agreed in the project quote.

Redistribution, resale, or commercial licensing of the footage to third parties is not permitted without written consent from VertaFly.

12. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with Swedish law. Any disputes shall first be subject to mediation before legal proceedings.
